General Provisions<\/b><\/h2><p><span style=\"font-weight: 400;\">1.1. These Terms and Conditions (hereinafter the \u201cTerms\u201d) regulate the relationship between <strong>PRO BALANCES O\u00dc<\/strong><\/span><span style=\"font-weight: 400;\">, registration code <strong>17361191<\/strong><\/span><span style=\"font-weight: 400;\">, address Tartu maakond, Kambja vald, T\u00f5rvandi alevik, Kauba tee 1, 61715<\/span><span style=\"font-weight: 400;\">\u00a0(hereinafter the \u201cSeller\u201d), and the user of the online store located at <\/span><b>[domain name]<\/b><span style=\"font-weight: 400;\"> (hereinafter the \u201cSite\u201d, \u201cOnline Store\u201d, \u201cUser\u201d, \u201cBuyer\u201d).<\/span><\/p><p><span style=\"font-weight: 400;\">1.2. These Terms are drafted in accordance with the legislation of the Republic of Estonia, including:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Law of Obligations Act (V\u00d5S);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Consumer Protection Act;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Accounting Act;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Electronic Communications Act;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 General Data Protection Regulation (GDPR);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 EU e-Commerce Directive 2000\/31\/EC.<\/span><\/p><p><span style=\"font-weight: 400;\">1.3. By using the Site, the User confirms that they have read and agree to these Terms.<\/span><\/p><h2><b>2. Seller\u2019s Information<\/b><\/h2><ul><li>PRO BALANCES O\u00dc<\/li><li>17361191<\/li><li>Tartu maakond, Kambja vald, T\u00f5rvandi alevik, Kauba tee 1, 61715<\/li><li>Info.probalances@gmail.com<\/li><\/ul><h2><b>3. Use of the Site<\/b><\/h2><p><span style=\"font-weight: 400;\">3.1. The User undertakes to use the Site in accordance with the laws of Estonia and these Terms.<\/span><\/p><p><span style=\"font-weight: 400;\">3.2. The User is prohibited from:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 interfering with the operation of the Site or disrupting its functionality;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 attempting to gain unauthorised access to systems or data;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 using the content of the Site without the Seller\u2019s permission;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 providing false, incomplete or misleading information.<\/span><\/p><p><span style=\"font-weight: 400;\">3.3. The content of the Site (texts, design, images, logos, etc.) is protected by copyright and related rights and belongs to the Seller or its partners.<\/span><\/p><h2><b>4. Prices and Payment<\/b><\/h2><p>4.1. All product prices in the online store are stated in euros (\u20ac) and do not include value added tax (VAT). PRO Balances O\u00dc is not a VAT payer in Estonia.<\/p><p><span style=\"font-weight: 400;\">4.2. The Seller has the right to unilaterally change prices and sales conditions. Such changes do not apply to orders that have already been paid.<\/span><\/p><p><span style=\"font-weight: 400;\">4.3. Payment for goods may be made via the payment methods available on the Site:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> bank transfers, card payments, Maksekeskus, PayPal, Stripe, and others.<\/span><\/p><p><span style=\"font-weight: 400;\">4.4. The Seller does not process or store the Buyer\u2019s card data; such data is processed by secure payment service providers in compliance with their terms and standards (including PCI-DSS).<\/span><\/p><h2><b>5. Placing an Order and Conclusion of the Contract<\/b><\/h2><p><span style=\"font-weight: 400;\">5.1. To place an order, the Buyer selects the desired product, adds it to the shopping cart, fills in the required information, and confirms the order.<\/span><\/p><p><span style=\"font-weight: 400;\">5.2. The contract of sale between the Buyer and the Seller is deemed concluded under V\u00d5S \u00a7 208 when:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 the Buyer has submitted the order via the Site; and<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 the Seller has received confirmation of payment.<\/span><\/p><p><span style=\"font-weight: 400;\">5.3. The Seller has the right to refuse or cancel an order if:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 the product is out of stock;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 the Site displayed an incorrect price or other significant error;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 the Buyer\u2019s information is incomplete or inaccurate;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 any other grounds arise as provided by law.<\/span><\/p><p><span style=\"font-weight: 400;\">In such cases, the amount paid will be refunded to the Buyer.<\/span><\/p><h2><b>6. Delivery of Goods<\/b><\/h2><p><span style=\"font-weight: 400;\">6.1. Goods are delivered via the method selected by the Buyer (e.g. Itella Smartpost, Omniva, DPD or another carrier).<\/span><\/p><p><span style=\"font-weight: 400;\">6.2. The delivery cost and estimated delivery time are displayed before the order is confirmed.<\/span><\/p><p><span style=\"font-weight: 400;\">6.3. The Seller will make reasonable efforts to comply with the indicated delivery times, but is not liable for delays caused by transport companies or circumstances beyond the Seller\u2019s control.<\/span><\/p><p><span style=\"font-weight: 400;\">6.4. According to V\u00d5S \u00a7 226, <\/span><b>the risk of accidental loss or damage to the goods transfers to the Buyer only at the moment when the Buyer actually receives the goods<\/b><span style=\"font-weight: 400;\"> (e.g. from a parcel machine or a courier).<\/span><\/p><h2><b>7. Right of Withdrawal \u2014 14 Days (V\u00d5S \u00a7 56\u201367)<\/b><\/h2><p><span style=\"font-weight: 400;\">7.1. If the Buyer is a consumer (a natural person purchasing goods outside business activities), they have the right to withdraw from the sales contract within 14 days from receiving the goods.<\/span><\/p><p><span style=\"font-weight: 400;\">7.2. To exercise the right of withdrawal, the Buyer must:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 send a written notice to the Seller at info.probalances@gmail.com<\/span><span style=\"font-weight: 400;\">, or use the form provided on the Site (if available);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 return the goods within 14 days from sending the withdrawal notice.<\/span><\/p><p><span style=\"font-weight: 400;\">7.3. Returned goods must be:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 unused;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 in the original packaging (to a reasonable extent);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 undamaged and without unnecessary signs of wear.<\/span><\/p><p><span style=\"font-weight: 400;\">7.4. The direct cost of returning the goods shall be borne by the Buyer, unless the goods were defective or unless otherwise required by law (V\u00d5S \u00a7 194).<\/span><\/p><p><span style=\"font-weight: 400;\">7.5. The Seller will refund the purchase amount (including the cost of standard delivery, if paid) within 14 days from receipt of the withdrawal notice. The Seller may withhold the refund until the goods have been returned or until the Buyer provides proof of return.<\/span><\/p><p><span style=\"font-weight: 400;\">7.6. The right of withdrawal does not apply to, among others:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 goods made to the Buyer\u2019s specifications or clearly personalised;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 hygiene products with opened packaging where the seal protects health;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 perishable goods;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 other exceptions provided by law.<\/span><\/p><h2><b>8. Claims and Liability (V\u00d5S \u00a7 218\u2013222)<\/b><\/h2><p><span style=\"font-weight: 400;\">8.1. A 2-year claim period applies to goods from the moment they are handed over to the Buyer.<\/span><\/p><p><span style=\"font-weight: 400;\">8.2. During the first 6 months, it is presumed that any defect already existed at the time of delivery (V\u00d5S \u00a7 220). After 6 months, the Buyer must prove that the defect existed at delivery.<\/span><\/p><p><span style=\"font-weight: 400;\">8.3. Claims must be submitted in writing to info.probalances@gmail.com<\/span><span style=\"font-weight: 400;\">\u00a0and include:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Buyer\u2019s contact details;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 description of the defect;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 photos or other evidence, if possible;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 order number and purchase date.<\/span><\/p><p><span style=\"font-weight: 400;\">8.4. The Seller is responsible only for manufacturing defects and hidden defects and is not responsible for:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 damage caused by improper use;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 normal wear and tear;<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 damage resulting from failure to follow instructions.<\/span><\/p><h2><b>9. Processing of Personal Data<\/b><\/h2><p><span style=\"font-weight: 400;\">9.1. The Buyer\u2019s personal data is processed by the Seller in accordance with the Privacy Policy published on the Site and applicable legislation.<\/span><\/p><p><span style=\"font-weight: 400;\">9.2. Personal data is used for order fulfilment, delivery, invoicing, compliance with legal obligations, and \u2014 with the Buyer\u2019s explicit consent \u2014 for marketing communications.<\/span><\/p><p><span style=\"font-weight: 400;\">9.3. Marketing messages are sent only with explicit consent, which can be withdrawn at any time via the \u201cUnsubscribe\u201d link or by contacting the Seller.<\/span><\/p><h2><b>10. Dispute Resolution<\/b><\/h2><p><span style=\"font-weight: 400;\">10.1. Disputes between the Buyer and the Seller shall first be resolved through negotiations.<\/span><\/p><p><span style=\"font-weight: 400;\">10.2. If an agreement cannot be reached, the consumer Buyer may contact:<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Consumer Protection and Technical Regulatory Authority (TTJA);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 Consumer Disputes Committee (<\/span><a href=\"https:\/\/komisjon.ee\/\"><span style=\"font-weight: 400;\">https:\/\/komisjon.ee<\/span><\/a><span style=\"font-weight: 400;\">);<\/span><span style=\"font-weight: 400;\"><br \/><\/span><span style=\"font-weight: 400;\"> \u2013 EU Online Dispute Resolution platform (ODR):<\/span><a href=\"https:\/\/ec.europa.eu\/consumers\/odr\"> <span style=\"font-weight: 400;\">https:\/\/ec.europa.eu\/consumers\/odr<\/span><\/a><span style=\"font-weight: 400;\">.<\/span><\/p><p><span style=\"font-weight: 400;\">10.3. All disputes shall be resolved under the laws of the Republic of Estonia.<\/span><\/p><h2><b>11. Final Provisions<\/b><\/h2><p><span style=\"font-weight: 400;\">11.1. The Seller has the right to unilaterally amend these Terms. Updated Terms take effect from the moment they are published on the Site.<\/span><\/p><p><span style=\"font-weight: 400;\">11.2.
